JUNI LEARNING AFFILIATE TERMS OF SERVICE
These Affiliate Terms of Service (this "Agreement") govern participation in the Acely Student Ambassador Program (Acely Collective) operated by Juni Learning Inc. ("Acely," "we," "us," or "our"), a Delaware corporation. By registering as an affiliate or otherwise participating in the Program, you (the individual or entity identified in the Program application, "Affiliate," "you," or "your") acknowledge that you have read, understood, and agree to be bound by this Agreement. This Agreement, together with our Terms of Service, govern your participation in the Program. If you do not agree to all of the terms herein, you may not participate in the Program.
Electronic acceptance via the Program registration form (including checking the acceptance checkbox) constitutes a legally binding signature under the federal Electronic Signatures in Global and National Commerce Act (E-SIGN, 15 U.S.C. § 7001 et seq.) and the California Uniform Electronic Transactions Act (Cal. Civ. Code § 1633.1 et seq.) and has the same legal effect as a handwritten signature. Acely will timestamp and log each acceptance event and send a confirmation email containing a copy of the then-current terms.
ACELY STUDENT AMBASSADOR PROGRAM
Eligibility and Participation
Age Restriction
This Program is strictly intended for individuals who are sixteen (16) years of age or older. Users under the age of eighteen (18) may participate, provided they have obtained explicit consent from their parent or legal guardian. Such parent or legal guardian must review, understand, and agree to these Terms and Conditions on behalf of the minor participant. By participating, you represent and warrant that you meet these age requirements or have obtained the necessary parental/guardian consent.
Ambassador Mechanism
Eligible participants (each, an "Ambassador") may enroll in the Program via our registration form on our website, Acely.com. By submitting the form and accepting the terms, the registrant agrees to be bound by this Agreement. Upon successful enrollment, Ambassadors will be provided with a unique referral link.
If the Ambassador is under the age of eighteen (18), a parent or legal Guardian must consent to their participation in the program.
Program Approval
All student referral program sign-ups are subject to review and approval by Acely, and participation is not guaranteed. We reserve the right to accept or reject any application at our sole discretion.
Self-Referral
Self-referral will not count as a qualified "Referral" and therefore will not be eligible for commission or be counted toward the payout.
Earning Structure and Payouts
Earning Structure
An Ambassador shall be entitled to a one-time referral fee of Twenty-Five United States Dollars (US$25.00) for each qualified "Referee" who successfully converts to a paying Acely customer. A "Referee" is defined as an individual who completes an initial purchase of an Acely subscription plan using the Referrer's unique referral link.
Payment Terms
Payouts will be made via a third-party digital payment platform designated by Acely. Accrued referral fees shall be disbursed to the Referrer's designated account. Payouts will be processed on a monthly basis as long as the aggregate amount of accrued and verified referral fees reaches a minimum threshold of Fifty United States Dollars (US$50.00). It is the Referrer's sole responsibility to ensure their account information is accurate and up-to-date to facilitate timely payments.
For Ambassadors under the age of 18 (or the agent of majority in their jurisdiction) who do not have or are not permitted to have their own account on a given Payment Platform, payment will be made to an account held by or on behalf of the person designated as their parent or guardian during registration. Acely is not responsible for any Payment Platform's refusal to process payment due to age restrictions on Ambassador's account. In such cases, Acely will work with Ambassador in good faith to identify an alternative method.
Commission Approval and Payout Schedule
Affiliate commissions are approved if valid on the 1st of each month, and payouts are made within 30 days of the commission becoming due, provided there are no issues with any of the referred campaigns/leads.
Withholding Payments
If there is any issue with a campaign or lead, Acely reserves the right to hold the payment, run an investigation, and release it once we are satisfied with the investigation.
Refunds and Adjustments
In case of a refund for a Referee's purchase, the corresponding commission will be omitted. If the commission has already been paid, it will be adjusted from the Referrer's next payout. If there is no next payout within the next 30 days, the Referrer will be liable to pay back the commission, or Acely will open a dispute.
FTC Endorsement Disclosure Requirement
SA-5.1 Various state and federal laws require disclosure of any material connection between a brand and its endorser(s). Because Ambassador may receive compensation (commission) in the form of referrals, any content — including social media posts, videos, Stories, captions, direct messages used for promotion, blog posts, or any other media — that promotes Acely or includes the referral link must include a clear and conspicuous disclosure of the material connection between Ambassador and Acely.
SA-5.2 Acceptable disclosures include, without limitation:
- A hashtag that adequately and immediately conveys the paid relationship
- Plain-language statements such as "I earn a commission if you sign up using my link"
SA-5.3 Disclosures must be placed, and you, as an Ambassador agree to place such disclosures, where viewers will clearly see them before engaging with the content. Such disclosure must be clearly legible and present on every individual piece of promotional content — one profile-level disclosure does not cover individual posts.
SA-5.4This requirement derives from the FTC's Endorsement Guides (16 C.F.R. Part 255) and is Ambassador's sole legal responsibility. Failure to comply may result in immediate termination and forfeiture of accrued commissions.
Compliance and Conduct
Compliance with Laws
As a condition to your participation in the Program, you agree to comply with all applicable laws, ordinances, rules, regulations, orders, licenses, permits, judgments, decisions, or other requirements (collectively, "Laws") of any governmental authority that has jurisdiction over you, whether those Laws are now in effect or later come into effect during your participation in the Program, including, without limitation, during the application process. This includes, but is not limited to, complying with all applicable federal, state, or other Laws that govern marketing email, such as the CAN-SPAM Act of 2003 and all other anti-spam laws.
PPC Brand Keyword Bidding
PPC brand keyword bidding is NOT allowed. You are not allowed to bid on the keyword "Acely" or modified versions thereof without prior approval.
Independent Contractor Relationship
You are an independent contractor. Nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and Acely. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Agreement, including, without limitation, the relationship between you and Acely.
Limitation of Liability
Tracking Software
Acely uses third-party affiliate tracking software/marketplace and will not be liable for indirect or accidental damages (e.g., loss of revenue, commissions) due to affiliate tracking failures, loss of database files, or any results of intents of harm to the Program and/or to our website(s) and/or to the affiliate tracking software/marketplace's website(s).
General Liability
Acely will not be liable for indirect, special, or consequential damages, or any loss of revenue, profits, or data, arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Furthermore, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total commissions paid or payable to you under the terms of this Agreement.
Term and Termination
Agreement Term
The term of this Agreement will be effective immediately upon your acceptance into the Program and will end when you close your Affiliate account or the Terms of Service are otherwise terminated.
Program Modification and Termination
Acely reserves the right to modify, suspend, or terminate this Program at any time, with or without prior notice, at its sole discretion. Any fraudulent activity, misuse of referral links, or violation of these terms will result in immediate disqualification from the Program and forfeiture of any accrued, but unpaid, referral fees. All decisions regarding eligibility and payouts are at the sole discretion of Acely. Your continuing participation in the Program will constitute your acceptance of any changes.
Incorporation of the Terms
You acknowledge that this Agreement is hereby incorporated into and made part of the Terms of Service. Except as expressly set forth herein, any dispute or claim arising from or relating to this Agreement is subject to the disclaimer, limitations and exclusions of liability, governing law and all other terms in the Terms of Service.
Modification of Agreement
Please note that this Agreement is subject to change by Acely in its sole discretion at any time. When changes are made to this Agreement, Acely will make a new copy of this Agreement available at https://www.acely.com/affiliate-terms. We will also update the "Last Updated" date at the top of this Agreement. When changes are made, we may require you to provide consent to the updated Agreement in a specified manner before further participation in the services described herein are permitted.
